Depends on what kind of corporation you are looking to be -- S or C -- and what state you want to inc in -- some have more tax advantage and less liability than others --

Talk to your accountant, they should at least be able to tell you the rules in your home state, and perhaps guide you towards Nevada or Delaware as well :)
